Stuart Kane LLP has developed specialized expertise in matters related to shopping center development, including site acquisition, disposition, regulatory approvals, joint ventures, finance, leasing, operations, reciprocal access and easement agreements, CC&Rs, and tenant disputes.  We also have specialized expertise in transactions involving medical offices, assisted living and other healthcare-related projects, and routinely handle acquisitions and dispositions involving 1031 tax-deferred and reverse exchanges.

  • Major retail stores
  • Restaurants
  • Grocery stores

  • Department stores

Our expertise and experience in dealing with major tenants can help expedite the leasing process and completion of a successful project.  Office and industrial developers appreciate our depth in negotiating tenant leases of varying sizes.  Likewise, our corporate clients rely upon our insights when negotiating office, industrial, and retail leases on the tenant side.

Finance
We represent both lenders and borrowers in real property secured lending, including construction, permanent and mezzanine financing, loan participations, securitized debt, loan assumptions, workouts, foreclosures, and receiverships.

Stuart Kane LLP routinely represents our borrower clients in negotiating lending transactions with financial institutions, life insurance companies and CMBS lenders. On the lender side, we handle seller carry-back financing and private loans for our real estate investor clients.

Joint Ventures
For real estate projects that involve multiple participants, the Stuart Kane LLP real estate team is adept at structuring joint ventures and partnerships in both traditional and novel ways.

We work with our developer and investor clients to structure the necessary equity and debt scenarios to meet the needs of the project and the interests of the parties.

Stuart Kane LLP routinely forms limited partnerships and limited liability companies, coordinating planning with our client’s tax experts and finance teams.

Environmental
We are actively involved in environmental compliance, litigation and risk management, including issues arising in real property transfers, business acquisitions, facility operations and land development.  We assist our clients in complex issues relating to environmental impact assessment and reporting, air quality, water quality and conservation, hazardous waste management, and hazardous substance remediation.

Our real estate and environmental attorneys routinely work with the firm’s real estate Litigation group to handle matters involving federal and state environmental laws, insurance coverage disputes, prosecution and defense of environmental clean-up suits, and related matters.

Corporate Real Estate
We understand the importance of meeting the demanding and time-sensitive real estate needs of businesses, including those that are expanding, consolidating, relocating, merging, or being acquired.  Our attorneys assist these companies with their real estate needs, providing legal oversight in such matters as leasing, property acquisition, financings, letters of credit, partnerships, limited liability companies, public offerings, and mergers and acquisitions.  Through close interaction with our corporate attorneys, we are uniquely qualified to identify and manage the real estate needs of companies throughout their life cycle, from start-up to public company.
